Consulting Policies

Services

Leading with Heart Consulting provides leadership coaching, leadership development, organizational and operational consulting, resident experience support, team development, communication and conflict support, regulatory/compliance consulting, QAPI/performance improvement support, career coaching, workshops, and other customized professional services agreed upon by the Parties.

Fees and Payment

The Client agrees to pay the fee associated with the selected service. Customized projects will be priced according to the agreed scope of work. Unless otherwise agreed in writing, payment is due before the scheduled service or by the due date stated on the Consultant’s invoice. Any additional work requested outside the agreed scope may require additional fees. The Consultant will communicate any material change in scope or price before performing the additional work.

Scheduling, Cancellation, and Rescheduling

Sessions and consulting engagements are subject to availability. The Client should provide reasonable notice when requesting a change to a scheduled service. Cancellation, rescheduling, refund, or credit terms for a particular engagement may be stated in the booking confirmation, invoice, proposal, or statement of work. If no separate written terms are provided, the Parties will address scheduling changes in good faith.

On-Site Services and Expenses

For on-site consulting, the Client will provide reasonable access to the location, personnel, records, workspace, and other resources necessary to perform the agreed services. Travel, parking, lodging, mileage, or other out-of-pocket expenses are not included in the service fee unless specifically stated in writing. Any reimbursable expenses will be agreed upon before they are incurred.

Client Responsibilities

The Client agrees to provide accurate and timely information, identify appropriate contacts, participate in scheduled meetings, and make decisions or approvals reasonably necessary for the Consultant to perform the services. Delays in receiving requested information or access may affect the project schedule.

Professional Consulting Relationship

The Consultant provides professional consulting, coaching, education, and recommendations based on the information available at the time. The Client remains responsible for its own business, employment, clinical, operational, regulatory, financial, and management decisions and for determining whether and how to implement recommendations. Services are not legal, medical, accounting, tax, or other licensed professional advice unless expressly stated in a separate written agreement and provided by an appropriately licensed professional.

Confidentiality

Each Party may receive confidential or proprietary information from the other in connection with the engagement. Each Party agrees to use reasonable care to protect confidential information and to use it only for purposes of the engagement, except when disclosure is authorized by the other Party or required by law.

The Client should not provide protected health information, personally identifiable resident or patient information, passwords, or other sensitive information unless it is necessary for the agreed services and appropriate safeguards have been established.

Ownership and Intellectual Property

Each Party retains ownership of materials, methods, templates, trademarks, content, and intellectual property it owned before the engagement. Unless otherwise agreed in writing, the Client may use final custom deliverables created and paid for under this Agreement for the Client's internal business purposes. Leading with Heart Consulting retains ownership of its pre-existing and reusable frameworks, training methods, templates, tools, processes, know-how, and general consulting materials. The Client may not sell, license, publish, or distribute the Consultant’s proprietary materials to third parties without written permission.

No Guarantee of Results

The Consultant will professionally perform the services but does not guarantee a particular business, financial, regulatory, survey, employment, operational, or other outcome. Results may depend on factors outside the Consultant’s control, including the Client’s decisions, implementation, staffing, operations, and third-party actions.

Limitation of Liability

To the extent permitted by applicable law, neither Party will be liable to the other for indirect, incidental, special, consequential, or lost-profit damages arising from the services. Nothing in this Agreement is intended to limit liability that cannot legally be limited.
